These Terms and Conditions (“Terms”) govern your access to and use of the websites, applications, and services (collectively, the “Services”) provided by CognitivePulse Solutions LLC (“CognitivePulse,” “we,” “us,” or “our”), a Delaware limited‑liability company. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

1. Eligibility & Account Registration

  1. Age Requirement. You must be at least 18 years old to use or register for an account. If you are under 18, you may only use the Services with the involvement of a parent or guardian.
  2. Account Information. When you register, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for all activity on your account and for safeguarding your password. Notify us immediately of any unauthorized use of your account.

2. Description of Services

CognitivePulse offers a range of technology and talent solutions, including but not limited to:

  • Offshore Talent Engagement: Flexible contracts for full‑stack developers, UI/UX designers, database engineers, AI/ML specialists, and healthcare IT professionals.
  • Custom Software Development: End‑to‑end application design, development, testing, and maintenance.
  • Cloud Integration & DevOps: Architecture, migration, automated pipelines, and ongoing operations on AWS, Azure, and GCP.
  • AI & Machine Learning Solutions: Predictive analytics, process automation, and intelligent insights tailored to your business needs.
  • Healthcare IT Platforms: HIPAA‑compliant EHR/EMR interoperability, telehealth portals, and role‑based access controls.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Fees, Billing & Payment

  1. Service Fees. Certain Services require payment of fees as set forth in quotations, statements of work, or subscription plans. All fees are in U.S. dollars unless otherwise specified.
  2. Billing Authorization. By providing payment information, you authorize us and our payment processors to charge the agreed fees to your chosen payment method.
  3. Invoices & Payment Terms. Unless otherwise agreed in writing, invoices are due within thirty (30) days of receipt. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
  4. Refunds & Cancellations. Except as expressly stated, all payments are non‑refundable. If you believe an error has occurred, contact contact@cognitivepulsesolutions.com within fifteen (15) days of the invoice date.

4. User Conduct

You agree not to:

  • Use the Services for any unlawful or unauthorized purpose.
  • Infringe any intellectual property or other proprietary rights of CognitivePulse or third parties.
  • Transmit harmful code (e.g., viruses, worms, malware).
  • Harass, defame, or threaten other users or our staff.
  • Attempt to gain unauthorized access to any portion of the Services or interfere with their proper operation.

5. Intellectual Property

  1. Our Materials. All content, software, graphics, designs, and documentation provided by CognitivePulse (the “Materials”) are owned by us or our licensors and are protected by intellectual property laws.
  2. Limited License. We grant you a non‑exclusive, non‑transferable, revocable license to access and use the Materials solely for your internal business purposes and in compliance with these Terms.
  3. Feedback. If you provide suggestions or feedback, you grant CognitivePulse a worldwide, royalty‑free, perpetual license to use, modify, and incorporate that feedback into our Services.

6. Third‑Party Services

Our Services may integrate or link to third‑party products, services, or websites. We are not responsible for their availability, content, or practices. Your use of any third‑party services is at your own risk and subject to that provider’s terms.

7. Confidentiality

Each party may receive confidential information (“Confidential Information”) of the other in connection with the Services. Confidential Information must be kept strictly confidential and used only to perform obligations under these Terms. Confidential Information does not include information that is (a) publicly known without breach, (b) already known to the recipient, or (c) independently developed without use of the discloser’s Confidential Information.

8. Disclaimers & Limitation of Liability

  1. “AS‑IS” Disclaimer. THE SERVICES AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
